  2. KOCH Media Licence Agreement
  3.  
  4. This Agreement will govern your use of the
  5.  KOCH Media software products contained in 
  6.  this package. Please read the following terms 
  7.  carefully before using the product.
  8.  
  9. Grant of licence. KOCH Media Ltd., Thomas House,
  10.  Hampshire International Business Park, 
  11.  Crockford Lane, Chineham, Basingstoke, Hampshire, 
  12.  UK RG24 8WH (called "KOCH Media" in this 
  13.  Agreement) hereby grants you, and you accept, 
  14.  a limited licence subject to the terms and 
  15.  conditions contained herein to use the
  16.  software recorded on the enclosed CD-ROM  
  17.  (called "the Software" in this Agreement). 
  18.  You may only use this Software on a single 
  19.  computer, on its temporary replacement, or on 
  20.  a subsequent computer. If you wish to use the 
  21.  Software on more than one computer, you must
  22.  purchase an additional copy of the Software. 
  23.  The Software is "in use" on a computer when it 
  24.  is resident in memory (i.e., RAM) or installed 
  25.  on the hard disk (executable and other files)
  26.  or other storage device. You may not either 
  27.  temporarily or permanently transfer or 
  28.  sub-licence your rights to use the Software 
  29.  under this Agreement without the prior written 
  30.  consent of KOCH Media.
  31.  
  32. Use. You acknowledge that the rights to the 
  33.  Software and the User Manuals and other related 
  34.  materials are the sole and exclusive property of 
  35.  KOCH Media or KOCH's licensors. You may not 
  36.  alter, merge, modify or 
  37.  adapt this Software in any way including 
  38.  disassembling or decompiling. By accepting this 
  39.  Agreement, you do not become the owner of the 
  40.  Software, but you do have the licence to use 
  41.  the Software in accordance with the Agreement. 
  42.  You agree to use your best efforts and to
  43.  take all reasonable steps to protect the 
  44.  Software from unauthorised use, illegal 
  45.  reproduction or illicit distribution. You may 
  46.  not loan, rent, lease or licence this Software 
  47.  or any copy.

  49. Copyright. All intellectual property rights in 
  50.  the Software and user documentation are owned 
  51.  by KOCH Media or its suppliers and are 
  52.  protected by United Kingdom copyright laws, 
  53.  other applicable copyright laws and international
  54.  treaty provisions. KOCH Media retains all rights 
  55.  not expressly granted.
  56.  
  57. Limited Warranty. KOCH Media warrants that the 
  58.  Software will substantially conform to the 
  59.  applicable user documentation. Furthermore 
  60.  KOCH Media warrants for a period of ninety (90)
  61.  days from the effective date of this Agreement 
  62.  that, under normal use, the material of the CD-ROM 
  63.  and the user manual(s) will not prove defective; 
  64.  and that the user manual(s) are substantially 
  65.  complete and contain all of the information which 
  66.  KOCH Media considers necessary for the use of 
  67.  the Software. If during the ninety-day period, a
  68.  defect in the Software should appear, you may 
  69.  return the Software to KOCH Media for replacement 
  70.  without charge. Your sole right with respect to a 
  71.  defect in the Software is replacement of the 
  72.  Software. KOCH Media does not warrant, that the 
  73.  contents of this package meets your expectations 
  74.  and that the Software runs properly under all 
  75.  circumstances.

  77. Except for the limited warranty provided in this 
  78.  paragraph, there are no warranties, conditions, or 
  79.  representations either express or implied by 
  80.  statute, common law or otherwise, and all such 
  81.  warranties, conditions and representations are 
  82.  expressly disclaimed.

  84. Limitation Of Liability. You agree that regardless 
  85.  of the form of any claim you may have, KOCH Media's 
  86.  liability for any damages to you or to any other 
  87.  party shall not exceed the amount paid by you for 
  88.  the Software. KOCH Media will not be responsible 
  89.  for any direct, indirect, special, incidental, 
  90.  cover or consequential damages, such as, but not 
  91.  limited to, loss of profits resulting from the use 
  92.  of the Software or arising out of any breach of 
  93.  the warranty, even if KOCH Media has been advised 
  94.  of the possibility of such damage.

  96. Termination of the Agreement. If any terms and 
  97.  conditions of the Agreement are broken, KOCH Media 
  98.  has the right immediately to terminate in writing 
  99.  the Agreement and demand that you return the 
  100.  Software to KOCH Media. At that time, you must
  101.  also certify in writing that you have not retained 
  102.  any copies of the Software.

  104. Governing Law. This Agreement is to be governed 
  105.  by and interpreted in accordance with the Laws 
  106.  of England. Any terms or conditions of this 
  107.  Agreement found to be unenforcable will be 
  108.  deleted, but will not affect the remaining terms 
  109.  and conditions of this Agreement.

  112.  and notification of product upgrading and 
  113.  enhancements, please complete and return the 
  114.  accompanying registration card.
